1. Agreement to Terms

3. Eligibility

To use our Services, you must:

• Have the legal capacity to enter into binding contracts
• Not be located in a restricted jurisdiction
• Comply with all applicable laws and regulations

Restricted Jurisdictions

Our Services are NOT available to residents of:

• North Korea, Iran, Syria, Cuba, and the Crimea region
• Jurisdictions subject to international sanctions

4. Account Registration and Security

4.1 Account Creation

You must:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Have only one account per person

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities occurring under your account
• Immediately notifying us of unauthorized access
• Using strong passwords and enabling two-factor authentication

We are NOT liable for losses due to compromised credentials, unless caused by our negligence.

5. Acceptable Use

5.2 Prohibited Activities

You may NOT:

• Create multiple accounts or share accounts

Violation of prohibited activities may result in immediate account suspension or termination and reporting to authorities.

6. Financial Terms

• Withdrawal limits may apply based on account status
• We reserve the right to refuse deposits or withdrawals that violate our policies

6.2 Fees and Charges

• We may change fees with 30 days' advance notice
• You authorize us to deduct fees from your account balance

You are solely responsible for:

We do NOT provide tax advice.

7. Custody and Asset Protection

• We maintain custody of assets deposited to your account
• Assets are held in segregated accounts where required by law
• We implement security measures to protect assets
• Assets are subject to our security protocols and procedures

7.2 Asset Protection

While we implement robust security:

• We do NOT guarantee protection against all risks
• You acknowledge the inherent risks of digital assets
• Insurance coverage, if any, is limited

7.3 Our Rights

We reserve the right to:

• Freeze or restrict account access for security or compliance reasons
• Investigate suspicious activity
• Cooperate with law enforcement
• Hold funds pending investigation

8. Intellectual Property

8.1 Our Property

All content, features, and functionality of the Services are owned by Tobin Square and protected by intellectual property laws. This includes:

• Platform design and software
• Trademarks and branding
• Proprietary technology

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Services for personal or internal business purposes only.

• Frame or mirror our platform

9. Disclaimers

• NON-INFRINGEMENT
• UNINTERRUPTED OR ERROR-FREE OPERATION

9.2 No Investment Advice

We do NOT provide:

• Investment, financial, or legal advice
• Recommendations to buy, sell, or hold assets
• Guarantees of returns or profits

9.3 Market Risks

Digital assets are highly volatile. You acknowledge:

• You may lose all deposited funds
• Past performance does not guarantee future results
• Market conditions can change rapidly

9.4 Technical Limitations

We do NOT guarantee:

• Continuous platform availability
• Absence of bugs or errors
• Compatibility with all devices

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

10.1 No Liability For

We are NOT liable for:

• Loss of profits or business opportunities
• Indirect, incidental, or consequential damages
• Force majeure events beyond our control
• Third-party service failures
• Market volatility or asset depreciation
• User error or negligence

10.2 Cap on Liability

Our total liability shall not exceed the lesser of:

• Fees you paid us in the 12 months preceding the claim
• $1,000 USD

10.3 Exceptions

Nothing in these Terms limits liability for:

• Death or personal injury caused by negligence
• Fraud or fraudulent misrepresentation
• Matters that cannot be limited by law

11. Indemnification

You agree to indemnify and hold harmless Tobin Square, its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

• Your violation of these Terms
• Your violation of applicable laws
• Your use of the Services
• Your breach of any representations or warranties
• Third-party claims related to your account

12. Account Termination

12.1 Termination by You

You may close your account at any time by:

• Withdrawing all assets
• Submitting a closure request
• Following our account closure procedures

12.2 Termination by Us

We may suspend or terminate your account:

• For violation of these Terms
• For suspicious or illegal activity
• For regulatory or compliance reasons
• At our discretion with 30 days' notice (unless immediate termination is required)

12.3 Effects of Termination

Upon termination:

• Your access to Services ceases immediately
• You must withdraw remaining funds within 90 days (subject to applicable holds)
• We may retain records as required by law
• Provisions that should survive (liability, indemnification) remain in effect

Unclaimed funds may be subject to escheatment laws.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Switzerland, without regard to conflict of law principles.

13.2 Arbitration Agreement

Any disputes shall be resolved through binding arbitration administered by the Swiss Arbitration Centre in accordance with its rules, except:

13.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions or representative proceedings.

14. General Provisions

These Terms, together with our Privacy Policy and other policies, constitute the entire agreement.

14.2 Amendments

We may modify these Terms at any time. Material changes will be notified via:

• Updated "Last Updated" date

Continued use after changes constitutes acceptance.

14.3 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

14.4 No Waiver

Our failure to enforce any provision does not waive our right to do so later.

14.5 Assignment

You may not assign these Terms. We may assign these Terms to affiliates or in connection with business transfers.

14.6 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including:

• War or terrorism
• Government actions
• Network failures
• System outages

Notices to you will be sent to your registered email address. Notices to us should be sent through the platform support center.
